Form ADV Part 3

We are registered with the SEC as an investment adviser. Brokerage and investment advisory services differ, and it is important for you to understand the differences.

Free and simple tools are available to research firms and financial professionals at investor.gov/crs, which also provides educational materials about broker-dealers, investment advisers, and investing.

Relationships and Services

What investment services and advice can you provide me?

Our firm offers investment advisory and financial planning services, fully described in our Form ADV Part 2A (“Disclosure Brochure”).

Our services are provided through our interactive online platform Quinn, by third-party financial organizations and/or advisers registered or chartered as fiduciaries with a regulatory body in the United States (“Clients” or “Advisers”). The Financial Planning Service is then made available through our Clients to their end-users (“Users”).

Our investment advisory services are limited to financial planning provided through an interactive online website. We do not manage assets, nor do we monitor or review investment accounts. Because we do not manage assets, we do not exercise any investment authority.

The firm does not receive fees based on assets or commissions for purchasing or selling stocks, bonds, mutual funds, or other products. There is no fee or minimum wealth requirement to use our platform.

Jonathan Dane is the CCO (Chief Compliance Officer) of Hyve.

Additional information about our services can be found in Items 4, 5, and 7 of our Disclosure Brochure, available on adviserinfo.sec.gov by searching for our firm name or CRD number.

Let’s discuss:

  • Given my financial situation, should I choose an investment advisory service? Why or why not?
  • How will you choose investments to recommend to me?
  • What is your relevant experience, including your licenses, education, and qualifications? What do these qualifications mean?

Fees, Costs, and Standards of Conduct

What fees will I pay?

Hyve does not charge any fees to Users for the use of our platform.

We charge third-party financial institutions and firms (our Clients) a platform and usage fee for our planning tool, Quinn. This fee is outlined in a separate Terms and Conditions agreement between Hyve and our Clients.

No portion of these platform fees is charged to you, and the fees you pay your Adviser will not increase because of this arrangement.

For more details, please see our Form ADV Part 2A.

Let’s discuss:

  • Help me understand how these fees and costs might affect my investments.
  • If I invest $200,000, how much will go to fees and costs, and how much will be invested for me?

Standards of Conduct

What are your legal obligations to me when acting as my investment adviser?

When we act as your investment adviser, we are obligated to act in your best interest and not put our interests ahead of yours.

However, the way we make money can create conflicts of interest. You should understand and ask us about these conflicts because they can affect the investment advice we provide.

Example:
Our Clients pay us platform fees whether you make or lose money on your investments. However, you only pay fees to the Adviser you hire directly — you do not pay us any fees.

Please make sure you understand all fees and costs you are paying.

Let’s discuss:

  • How might your conflicts of interest affect me, and how will you address them?

We have written internal policies and compliance procedures that guide us in managing your account in your best interest, regardless of potential conflicts.

How do your financial professionals make money?

Our investment services are entirely software-managed. We do not employ financial professionals or advisors to provide investment advice.

Our firm’s professionals (employees and consultants) are compensated with a fixed monthly salary or pre-negotiated rate. Employees may be eligible for a discretionary annual bonus based on the quality of services and the firm’s growth.

Additional information about our financial professionals can be found in their respective Form ADV Part 2 Brochure Supplements.

Legal and Disciplinary History

Do you or your financial professionals have legal or disciplinary history?

No. Neither we nor our financial professionals have any legal or disciplinary history.

You can visit investor.gov/crs for a free and simple search tool to research us and our financial professionals.

Let’s discuss:

  • As a financial professional, do you have any disciplinary history?
  • For what type of conduct?
