Quinn Advisor Program Testing Agreement

Quinn™ is a product offered by Hyve, Inc. The Quinn Advisor Program Testing Agreement (“Terms”) applies to all Quinn™ products and services, including Ask Quinn (“Quinn” or “Services”), offered by Hyve, Inc. (“Hyve,” “we,” “us,” or “our”).
Agreement and Acceptance
By accessing or using the Services, you agree to be a “Tester” of Quinn Advisor and acknowledge that you have read, understood, and agreed to be bound by the following:

- The Quinn Acceptable Use Policy
- The Hyve Inc. Terms of Service (“General Terms”)
These Terms govern your use and access of the Services and constitute a legally binding contract between you and Hyve. In the event of a conflict between the Supplemental Terms and the General Terms, the Supplemental Terms will prevail. Capitalized terms not defined here have the meanings given in the General Terms.
Objectives of the Quinn Advisor Program
Description of Services
Quinn is an artificial intelligence financial advisory tool accessible through Hyve’s mobile app or website (collectively, the “Quinn Platform”). Quinn is powered by Hyve’s proprietary algorithms to provide users with personalized financial advice and planning services. It employs artificial intelligence and language models to facilitate communication between Quinn and its users.
You may provide written input to the Services (“Input”), including but not limited to questions, data, or information. Based on the Input, you may receive output generated by the Services (“Output”), including answers, data, graphics, or information. Together, Input and Output are referred to as “Content.”
Quinn Advisor Program
Hyve is making Quinn available to you and select users on a “preview” and “early access” basis. By using the Services and accepting these Terms, you agree to act as a beta tester and pilot user of the Services.
Quinn is an experimental product offered “as-is,” without warranty of any kind, for testing and evaluation purposes only. It relies on rapidly evolving generative AI technology and may produce Output that contains inaccuracies or incomplete information. Do not rely on Output without independently verifying its accuracy and appropriateness. Never use Output as medical, legal, financial, or other professional advice. Always consult with a qualified professional for such topics.
As noted in Section 6, Hyve makes no representations or warranties with respect to the Services or any Output.
Eligibility
To use the Services, you must have a registered account with Quinn. For details and requirements, refer to the relevant section in the General Terms.
The Services
Ownership of Services
Hyve owns all rights, title, and interest in and to the Services. You do not receive any rights to the Services except as explicitly permitted herein.
Use of Services
You are granted a non-exclusive right to use the Services in accordance with these Terms. You must comply with all applicable laws and policies when using the Services, including any Input or Output generated. Use is limited to personal, non-commercial purposes.
Restrictions
You may not, and may not permit others to:
- Use the Services in violation of any laws or the Quinn Acceptable Use Policy.
- Infringe, misappropriate, or violate any intellectual property rights.
- Modify, copy, or create derivative works of the Services.
- Reverse engineer, decompile, or extract models or algorithms.
- Use the Services to develop competing machine learning models.
- Employ automated methods to extract data or Output (e.g., scraping).
- Misrepresent Output as human-generated.
- Input any personal, confidential, or sensitive information such as names, phone numbers, addresses, emails, or birth dates.

Modification, Suspension, or Discontinuation
Hyve reserves the right to modify, suspend, or discontinue the Services or your access at any time, with or without notice, and shall not be liable for any resulting loss or damages, to the maximum extent permitted by law.
Content
Input
You represent and warrant that you have the rights necessary to allow Hyve to process any Input you submit, and that your Input does not violate these Terms, the Quinn Acceptable Use Policy, or applicable laws. You retain ownership of your Input, except as provided in Section 4(f).
Feedback
You may provide feedback, ideas, or suggestions (“Feedback”) regarding the Services or Content.
Personal Information
You should not submit personal information such as names, emails, addresses, or birth dates.
Confidential or Sensitive Information
You should not submit any confidential or sensitive information as part of your Input.
License to Content and Feedback
You grant Hyve a worldwide, irrevocable, royalty-free, perpetual license to use your Content and Feedback for any purpose, including the development, improvement, and marketing of its products and technologies. No compensation or credit will be provided.
Inaccuracies
Quinn is an experimental product provided “as-is.” Output may contain material inaccuracies or incomplete information. Do not rely on it without independent verification and human review.
Use of Output
You understand and agree that:
- Output should not be relied upon for investment decisions.
- Output is not an offer to sell or solicit the purchase of any security or product.
- Output is not investment research or advice.
- Output is not a recommendation to buy or sell a security.
- Prices and values of securities referenced in Output may fluctuate.
- You are solely responsible for your investment research and decisions.
- All investments carry risks, and past performance does not guarantee future results.
- Always consult legal, tax, or financial advisors before making any financial decisions.
Disclaimer of Warranties, Limitations of Liability, and Indemnification
No Guarantees
Hyve makes no guarantees about how the Services operate or whether they function as intended. The Services are experimental and may produce incorrect or unexpected information. You should not rely on the Services or Output for any kind of advice.
Disclaimer of Warranties
Your use of the Services and Output is at your own risk. The Services are provided “as is.” To the fullest extent permitted by law, Hyve disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. Hyve does not guarantee that the Services or Output will be uninterrupted, accurate, complete, timely, or error-free.
Limitation of Liability
In no event shall Hyve, its affiliates, or personnel be liable for:
- Any damages related to the Content;
- Any indirect, incidental, special, consequential, or exemplary damages related to the Services or these Terms.
Total liability shall not exceed the greater of the amount paid for the Services in the prior 12 months or $200. These limitations apply to the maximum extent permitted by law.
Indemnification
You agree to defend and hold harmless Hyve, its affiliates, and personnel from any claims, losses, or expenses (including attorney’s fees) arising from your use of the Services, your Content, or your breach of these Terms.
Modifications
Hyve may amend these Terms from time to time by posting a revised version on the Platform. Please check periodically for updates. If changes materially affect your rights, you will be notified by email or in-product notice at least 7 days before they take effect. All other updates are effective immediately upon publication. Continued use of the Services constitutes acceptance of the new Terms.
